Terms of use
Last updated: October 16, 2026
These terms govern the use of Clozup by client companies and their users, as well as recipients' access to proposals.
Parties
These terms of use (the "Terms") are entered into between SAS Meduza Studio, publisher of Clozup (the "Company", full details in the appendix), and any company or organization that subscribes to the service (the "Client"), as well as the people it authorizes to use it.
1. Definitions
- Service: the Clozup software, available online, used to prepare, share and track sales proposals.
- User: any person invited by the Client to use the Service, whatever their role (Admin, Manager, Sales).
- Workspace: the Client's environment in the Service, with its users, content and proposals.
- Proposal: a sales proposal prepared in the Service, with its quote or quotes, documents and pages.
- Recipient: the person, at one of the Client's clients, authorized to view a Proposal.
- Client space: the online page on which the Recipient views the Proposal.
- Content: everything the Client and its Users upload or enter in the Service (quotes, documents, text, images, contact data).
2. Purpose
These Terms set out the conditions for accessing and using the Service. They apply alongside the quote or order form accepted by the Client, which prevails in case of conflict. Using the Service means accepting these Terms.
3. Access and security
3.1 Accounts. Users are invited by a Workspace administrator. Each has personal credentials and keeps them confidential. The Client chooses each User's role and remains responsible for actions taken from its Workspace.
3.2 Recipients. A Recipient opens a Proposal without creating an account: they enter their email address, which must have been authorized by the Client, then a single-use code received by email. Access is free for the Recipient.
3.3 Security. The Client promptly informs the Company of any unauthorized use of its Workspace. The Company may suspend access if the security of the Service is at risk.
4. Description of the Service
The Service lets the Client, among other things: create Proposals and attach one or more PDF quotes and their annexes; build the Proposal from a page library; introduce its team; share the Proposal with Recipients in a Client space in its colors; track how Proposals are viewed. The exact scope of the Service may change; the Company endeavors not to reduce essential features during a subscription.
With the Custom plan, the Company also designs a custom Client space, according to the quote accepted by the Client.
5. Pricing and payment
The subscription costs €30 excluding VAT per User per month, unless otherwise agreed in the quote. Designing a custom Client space (Custom plan) is quoted separately. Recipients are never charged.
The subscription is paid monthly or annually, at the Client's choice, in advance and upon receipt of the invoice. Late payment triggers the penalties set out in article L.441-10 of the French Commercial Code and a fixed €40 recovery fee.
6. Personal data
6.1 Roles. For the data the Client processes in the Service (Users, clients, contacts, Recipients and Proposal viewing information), the Client is the data controller and the Company acts as a processor within the meaning of article 28 of the GDPR. The Company processes this data only to provide the Service and on the Client's instructions.
6.2 Viewing tracking. The Service records how Recipients view Proposals: sign-ins, pages and documents viewed, time spent, downloads. This information relates to identified people. The Client undertakes to inform its Recipients of this tracking and to have an appropriate legal basis, including their consent where the law requires it.
6.3 Company commitments. The Company keeps the data confidential, applies appropriate security measures, uses sub-processors only after informing the Client (currently: Meduza Agency for hosting and server administration, in OVHcloud and Scaleway data centers in France, and Resend for sending emails), helps the Client answer data subject requests and notifies it of any data breach as soon as possible. Details are set out in the data processing agreement (DPA).
For data collected on the Site, see the privacy policy.
6.4 Location. Data is hosted in France, with no transfer outside the European Union.
7. Intellectual property
7.1 Company elements. The Service, its code, interfaces, brand and documentation remain the Company's property. The Client has a personal, non-exclusive and non-transferable right to use them for the duration of the subscription.
7.2 Client Content. The Client remains the owner of its Content. It authorizes the Company to host, reproduce and display it only to provide the Service. It warrants that it holds the necessary rights to the Content it uploads, including logos, images and documents.
7.3 Custom Client space. Ownership and usage terms for the design created under the Custom plan are set out in the corresponding quote.
8. Availability and liability
The Company does its best to keep the Service available and working properly, under a best-efforts obligation. Interruptions may occur for maintenance; the Company endeavors to announce them in advance. Data is backed up automatically every day and backups are kept for 5 business days.
The Service provides viewing information for guidance only: it guarantees neither a Recipient's actual interest nor a sale. The Client remains solely responsible for the content of its Proposals, its quotes and its exchanges with its clients.
Except in case of gross negligence or willful misconduct, the Company's liability is limited to direct damages and capped at the amounts paid by the Client over the last twelve months.
9. User commitments
Users undertake to use the Service fairly and lawfully, not to upload unlawful content or content that infringes third-party rights, not to try to access other Workspaces' data and not to disrupt the Service.
10. Data export and deletion
During the subscription, the Client can retrieve its quotes and documents from the Service. When the subscription ends, the Company keeps the data for 30 days so it can be retrieved, then deletes it, unless the law requires it to be kept. Backups then disappear when their retention period expires. A deletion certificate can be provided on request.
11. Support
For any question about the Service, the Client can write to sales@clozup.cloud. The online documentation explains how it works.
12. Term, suspension and termination
The subscription has no commitment. The Client can cancel it at any time by email to sales@clozup.cloud. For monthly payment, cancellation takes effect at the end of the current month. For annual payment, it takes effect at the end of the annual period already paid, with no prorated refund.
The Company may suspend access in case of serious breach of these Terms or non-payment, after a formal notice that remains unanswered for 15 days, except in an emergency affecting the security of the Service.
13. Changes to the Terms
The Company may change these Terms. The Client is informed of any significant change at least 30 days before it takes effect. If the Client refuses it, it can terminate its subscription before that date.
14. Governing law and disputes
These Terms are governed by French law. Failing an amicable agreement, any dispute between professionals falls under the exclusive jurisdiction of the courts of Reims. In the event of translation, the French version prevails.
